Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BaruzoTech ("Company," "we," "our," or "us"), the developer and operator of the Outlook Inbox application ("App") available on the monday.com Marketplace.

By installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not install, access, or use the App. If you are using the App on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Outlook Inbox is a monday.com Marketplace application that integrates your Microsoft Outlook email directly into your monday.com workspace. The App provides the following core features:

• Inbox Module: View your complete Outlook inbox directly within monday.com as a board view.
• Item View: Automatically display email conversations associated with email addresses stored in your monday.com board columns within the item view panel.
• Email Composition: Send new emails and reply to existing email threads directly from within monday.com.
• Email Templates: Create, manage, and use email templates with dynamic placeholders that pull data from your monday.com board rows for personalized one-click email sending.

The App uses Nylas, a third-party email API platform, to facilitate the connection between your Microsoft Outlook account and the App. By using the App, you acknowledge and agree that your email data will be processed through Nylas's infrastructure.

3. Eligibility

To use the App, you must: (a) be at least 16 years of age; (b) have a valid monday.com account with an active subscription; (c) have a valid Microsoft Outlook account; and (d) have the legal capacity to enter into a binding agreement. If you are using the App on behalf of an organization, you must have the authority to accept these Terms on behalf of that organization.

4. Account Registration and Access

To use the App, you must install it from the monday.com Marketplace and connect your Microsoft Outlook account through our secure OAuth 2.0 authentication process. You are responsible for:

• Maintaining the confidentiality of your account credentials for both monday.com and Microsoft Outlook.
• All activities that occur under your account and through the App.
• Ensuring that your use of the App complies with your organization's policies and any applicable laws.
• Notifying us immediately if you suspect any unauthorized use of your account or security breach.

5. Acceptable Use Policy

You agree not to use the App to:

• Send unsolicited bulk emails (spam), phishing emails, or any form of malicious or deceptive communications.
• Violate any applicable local, state, national, or international law or regulation, including anti-spam laws such as the CAN-SPAM Act, GDPR, or CASL.
• Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Attempt to gain unauthorized access to other users' accounts, computer systems, or networks connected to the App.
• Interfere with or disrupt the App's servers, networks, or infrastructure.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.
• Use the App to collect or harvest personal information of others without their consent.
• Use automated scripts, bots, or other tools to access or interact with the App in a manner not intended by these Terms.
• Resell, sublicense, or redistribute the App or any of its features without our prior written consent.

We reserve the right to suspend or terminate your access to the App if we reasonably determine that you have violated this Acceptable Use Policy.

6. Intellectual Property Rights

The App, including its design, features, functionality, code, user interface, graphics, trademarks, logos, and all related intellectual property, are owned by BaruzoTech and are protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in the App, but only a limited right to use the App in accordance with these Terms.

You retain ownership of all content you create, send, or manage through the App, including email content, email templates, and board data. By using the App, you grant us a limited, non-exclusive, revocable license to process your content solely for the purpose of providing and improving the App's services.

7. Third-Party Services

The App integrates with and depends on the following third-party services:

• monday.com:The App operates within the monday.com platform. Your use of monday.com is subject to monday.com's terms of service and privacy policy. We are not responsible for any changes, outages, or issues with the monday.com platform.
• Microsoft Outlook:The App accesses your Microsoft Outlook email data through the Microsoft Graph API. Your Microsoft account is subject to Microsoft's terms of service and privacy statement. We are not responsible for any changes to Microsoft's APIs or services that may affect the App's functionality.
• Nylas:We use Nylas as our email integration provider. Nylas processes your email data to enable synchronization, sending, and receiving. Your email data is processed through Nylas's infrastructure, and Nylas's own terms of service and privacy policy apply to such processing. You can review Nylas's terms at https://www.nylas.com/legal/terms/.

We do not endorse, guarantee, or assume responsibility for any third-party services, and any transactions or interactions between you and third-party providers are solely between you and such providers.

8. Fees and Payment

The App is currently available as a free-to-install application on the monday.com Marketplace. We reserve the right to introduce paid features, subscription plans, or pricing changes in the future. If we introduce any paid features, we will provide you with advance notice and the option to accept or decline the new pricing before any charges are applied.

Any fees charged by monday.com for their platform or by Microsoft for their services are separate from and not governed by these Terms.

9. Service Availability and Modifications

We strive to provide uninterrupted access to the App, but we do not guarantee that the App will be available at all times. The App may be subject to temporary unavailability due to:

• Scheduled maintenance and updates.
• Unscheduled downtime due to technical issues, server failures, or force majeure events.
• Changes or outages in third-party services (monday.com, Microsoft, Nylas) that the App depends on.

We reserve the right to modify, update, or discontinue any feature of the App at any time, with or without notice. We will make reasonable efforts to notify users of significant changes that may affect their use of the App.

10. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the App will function uninterrupted, securely, or be available at any particular time or location; (b) any errors or defects will be corrected; (c) the App is free of viruses or other harmful components; (d) the results of using the App will meet your requirements; or (e) emails sent through the App will be delivered successfully, as delivery depends on third-party email services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BARUZOTECH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use the App.
• Any conduct or content of any third party related to the App, including but not limited to monday.com, Microsoft, or Nylas.
• Any content obtained from or through the App, including email content.
• Unauthorized access, use, or alteration of your transmissions or content.
• Loss or corruption of email data, templates, or board data.
• Failure or delay in email delivery through the App.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100 USD) OR THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless BaruzoTech and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third party's rights, including intellectual property rights or privacy rights; or (d) any content you send, create, or manage through the App, including any emails that violate applicable laws.

13. Termination

You may terminate your use of the App at any time by uninstalling it from your monday.com workspace and disconnecting your Microsoft Outlook account.

We may suspend or terminate your access to the App immediately, without prior notice or liability, for any reason, including but not limited to: (a) a breach of these Terms; (b) a request by law enforcement or government agencies; (c) discontinuance or material modification of the App; (d) unexpected technical or security issues; or (e) your engagement in fraudulent or illegal activities.

Upon termination, your right to use the App will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitation of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or in the courts of competent jurisdiction in India.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BaruzoTech regarding your use of the App and supersede all prior agreements, understandings, and communications, whether written or oral, regarding the subject matter herein.

17. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, either through the App or by email. What constitutes a material change will be determined at our sole discretion. Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of the changes.
